Terms of Service

Welcome to Starpush. These Terms of Service ("Terms") govern your access to and use of the Starpush platform, website, and related services (collectively, the "Service") operated by Starpush ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Starpush at starpush.io, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and Starpush.

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms.

2. Account Registration & Eligibility

2.1 Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use Starpush. By registering, you represent that you meet these requirements. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2.2 Account Information

When you create an account, you agree to provide accurate, current, and complete information, including your full name, business name, email address, and phone number. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2.3 Account Security

You must notify us immediately at hello@starpush.io if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

3. Description of Services

Starpush is a software-as-a-service (SaaS) platform designed for local service businesses, including but not limited to HVAC, plumbing, roofing, electrical, landscaping, and similar trades. The Service provides the following features:

3.1 SMS Review Requests

Starpush enables you to send automated SMS messages to your customers requesting reviews on platforms such as Google. SMS delivery is handled entirely by Starpush's infrastructure — no third-party accounts are required on your end. You are responsible for ensuring that you have obtained proper consent from each recipient before sending review requests. All SMS communications must comply with the Telephone Consumer Protection Act (TCPA) and applicable state and federal regulations.

3.2 AI-Generated Review Replies

The Service uses artificial intelligence (powered by Anthropic's Claude) to generate suggested replies to customer reviews. These replies are provided as suggestions only. You are solely responsible for reviewing, editing, and approving any AI-generated content before it is published. Starpush does not guarantee the accuracy, appropriateness, or effectiveness of any AI-generated text.

3.3 GBP Optimizer

Starpush's Google Business Profile (GBP) Optimizer audits your Google Business Profile and provides actionable recommendations to improve your local search visibility. This feature analyzes your profile completeness, category selections, review patterns, and other publicly available data. Optimization results may vary and are not guaranteed.

3.4 Dashboard & Analytics

The Service includes a dashboard that tracks review request performance, response rates, review sentiment, and other business metrics. Data displayed in the dashboard is provided for informational purposes and may be subject to processing delays.

4. Free Trial & Billing

4.1 Free Trial

New accounts are eligible for a 14-day free trial that provides full access to the features included in your selected plan. No credit card is required to start a free trial. At the end of the trial period, you must select a paid plan and provide valid payment information to continue using the Service. If you do not subscribe to a paid plan, your account will be downgraded and access to premium features will be suspended.

4.2 Subscription Plans

Starpush offers the following monthly subscription plans:

Plan features, SMS limits, and other details are described on our pricing page at starpush.io. We reserve the right to modify pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.

4.3 Payment Processing

All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your selected payment method on a recurring monthly basis. You agree to keep your payment information current. Failed payments may result in suspension of your account after a 7-day grace period.

4.4 Cancellation

You may cancel your subscription at any time from your account settings or by contacting us at hello@starpush.io. Upon cancellation, you will retain access to your paid plan features until the end of your current billing period. No prorated refunds are issued for partial billing periods, except as provided under our Refund Policy (Section 11).

4.5 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any sales tax, use tax, VAT, or other governmental charges associated with your use of the Service.

You agree to use Starpush in compliance with all applicable laws, regulations, and these Terms. You specifically agree that you will not:

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, design, text, graphics, logos, trademarks, and other content, is owned by Starpush and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

6.2 Your Content

You retain ownership of any content you submit to the Service, including business information, customer data, and review text. By using the Service, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing the Service to you. We will not use your content for any other purpose without your consent.

6.3 AI-Generated Content

Review replies and other text generated by the AI features of Starpush are provided to you for your use. You are solely responsible for any AI-generated content that you choose to publish or distribute. We make no claims of ownership over AI-generated content, but we also disclaim responsibility for its accuracy or suitability.

6.4 Feedback

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use such feedback for any purpose, including improving the Service.

7. Third-Party Services

Starpush integrates with and relies upon the following third-party services to deliver its functionality:

We are not responsible for the availability, accuracy, or practices of any third-party services. Outages, changes, or disruptions to third-party services may affect the functionality of Starpush, and we shall not be held liable for such events.

8. Data & Privacy

Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Policy. By using the Service, you consent to the data practices described in the Privacy Policy.

You are responsible for ensuring that you have obtained all necessary consents from your customers before providing their personal information (including phone numbers) to Starpush for the purpose of sending SMS review requests.

9. Disclaimers

9.1 Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

9.2 No Guarantee of Results

We do not guarantee that use of the Service will result in increased reviews, improved search rankings, higher revenue, or any specific business outcome. Results depend on numerous factors outside our control, including your business practices, customer satisfaction, and third-party platform policies.

9.3 AI Disclaimer

AI-generated content, including review replies and GBP optimization recommendations, is produced by automated systems and may contain errors, inaccuracies, or inappropriate suggestions. You must review all AI-generated content before use and bear full responsibility for any content you choose to publish.

9.4 Uptime

While we strive to maintain high availability, we do not guarantee uninterrupted access to the Service. Scheduled maintenance, updates, and unforeseen technical issues may temporarily affect availability.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Starpush and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or reputation, arising out of or in connection with your use of or inability to use the Service, regardless of the cause of action or theory of liability.

In no event shall our total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

11. Refund Policy

11.1 30-Day Money-Back Guarantee

If you are not satisfied with Starpush, you may request a full refund within 30 days of your first paid subscription charge. To request a refund, contact us at hello@starpush.io with your account email address and reason for the refund. Refunds will be processed to your original payment method within 5–10 business days.

11.2 After the Guarantee Period

After the 30-day money-back guarantee period, subscription fees are non-refundable. You may cancel your subscription at any time, and you will retain access until the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

11.3 Exceptions

Refunds will not be issued for accounts that have been terminated due to violations of these Terms or the Acceptable Use Policy.

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by emailing hello@starpush.io. Upon termination, your access to premium features will continue until the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, the Acceptable Use Policy, or any applicable law. We may also terminate accounts that have been inactive for more than 12 consecutive months.

12.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may retain your data for a reasonable period as described in our Privacy Policy to comply with legal obligations, resolve disputes, and enforce our agreements. You may request a copy of your data before termination by contacting us at hello@starpush.io.

13. Indemnification

You agree to indemnify, defend, and hold harmless Starpush and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any content you submit through the Service; or (e) your violation of any applicable law or regulation, including TCPA compliance.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at hello@starpush.io and attempt to resolve the dispute informally for at least 30 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.3 Jurisdiction

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Starpush regarding your use of the Service and supersede all prior agreements, representations, and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Starpush.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or failures of third-party services.
